Dilution Of Shareholdings In RCR Tomlinson Limited

The Board of Directors of MTQ Corporation Limited (the "Company") wishes to announce that the Company's shareholdings in its associated company, RCR Tomlinson Limited ("RCR"), that is held through its subsidiaries, MTQ Holdings Pty Ltd and MTQ Engine Systems (Aust) Pty Ltd has been diluted from 28% to 21.6%.
The dilution was a result of the enlarged share capital of RCR arising from the following issuance of:
1. 12,000,000 placement shares to institutional and retail investors;
2. 3,044,444 shares to vendors of Stelform Engineering for the acquisition of the latter;
3. 1,175,000 shares from employees share options
